Terms: Marketing and Advertising
Performance Marketing & Advertising — Specific Terms
Last updated: 3 June 2026This is an English translation provided for convenience. In case of any discrepancy, the Bulgarian version prevails.
1. Description of the Service
The "Marketing and Advertising" service includes the development of a marketing strategy, the setup and management of advertising campaigns (including Meta Ads and Google Ads), the creation of creatives and content, social media management (SMM), the technical setup of tracking, and ongoing analysis and optimisation, on a subscription basis.
The specific scope is determined by the selected subscription plan:
- Basic Growth (Базов Растеж): from 199 EUR/month
- Full Control (Пълен Контрол): from 499 EUR/month
- Studio 360: a bespoke system based on a quotation, according to the Client’s goals, budget, team and stage of development
All prices are in euro (EUR) and exclude VAT, unless expressly stated otherwise. The exact scope of each plan (number of creatives, number of active campaigns, advertising budget limits, hours for SMM and communication, reporting and additional features) is described in the respective quotation or subscription plan, which supplement these terms.
The limits stated in the plans (for example, the number of creatives, active campaigns or the advertising budget managed by the Company) represent upper limits within the subscription and not a guaranteed minimum volume. Unused volume for a given period does not accumulate and is not carried over to the following period.
2. Advertising Budget
The advertising budget is paid separately and directly by the Client to the respective advertising platform, through a payment method and an advertising account owned by the Client. The Client is solely responsible for ensuring sufficient funds/a payment method to fund the campaigns.
The Company shall not be liable for: suspension of campaigns due to insufficient funds or a declined payment method; fees charged directly by the advertising platforms; fluctuations in advertising costs (CPM, CPC, CPA), which depend on the market and on the platforms’ algorithms.
3. Subscription Model, Minimum Term and Termination
The service is provided on a monthly subscription basis. Due to the nature of performance marketing — campaigns need time for algorithm learning, testing and optimisation — the minimum commitment period is 3 (three) months, starting from the launch of the service, unless expressly stated otherwise in the quotation.
After the expiry of the minimum term, the subscription continues on a monthly basis and is renewed automatically, unless either party terminates it with 30 days’ written notice before the next renewal date.
Termination within the minimum term does not release the Client from the obligation to pay the amounts due for the minimum period. Subscription payments cover work actually performed, allocated resources and campaign management and are non-refundable for the current paid period, to the maximum extent permitted by law (see also clause 7.1 of the General Terms and Conditions).
4. Client Access and Cooperation
For the performance of the service, the Client undertakes to provide timely access and cooperation, including: access to the advertising accounts, Business Manager / the advertising account in Meta and/or Google Ads, social media pages and the respective payment methods; access for installing and configuring the Pixel, the Conversions API (CAPI) and other tracking tools; the necessary materials, information about the products/services, brand guidelines and assets; timely feedback and approvals within reasonable time limits.
Delay in providing, or failure to provide, access, materials or approvals on the part of the Client may delay the launch or performance of the campaigns. The Company shall not be liable for results affected by such delays and owes no compensation for periods during which performance is prevented for reasons attributable to the Client.
Ownership of the advertising accounts, pages, the Pixel and the data collected in them belongs to the Client. Upon termination, the Company discontinues its access to these assets.
5. Creatives, Content and Intellectual Property
The Company prepares advertising creatives, copy and content (including those created with the help of AI tools) in the volume determined by the selected plan. The Client reviews and approves the creatives before publication.
The Client warrants that it owns, or has a lawful basis for using, all materials provided by it (logos, images, product data, reviews, UGC, etc.) and that their use in advertisements does not infringe the rights of third parties. The Client shall indemnify the Company against claims arising from materials provided by it or from statements in the advertisements.
Upon payment in full, the Client receives a non-exclusive right to use the creatives produced specifically for its campaigns. The Company’s proprietary methodologies, templates, tools and workflows remain its property. The Company may use anonymised results and the materials created for its portfolio and case studies, unless expressly agreed otherwise in writing.
6. Results and No Guarantees
The service is provided on the basis of good faith and professional efforts (best effort). The effectiveness of the campaigns depends on factors such as: the Client’s product/service and pricing, market conditions and competition, seasonality, the size of the advertising budget, the quality of the Client’s offer and website, as well as the algorithms and policies of the advertising platforms.
Any forecasts, expectations or indicative metrics shared by the Company are for information purposes only and do not constitute a guarantee or an assumed commitment to any result.
7. Third-Party Platforms
The service depends on third-party advertising and technology platforms (Meta, Google, etc.), which have their own terms and policies. The Client undertakes to comply with these policies. The Company shall not be liable for:
- Rejection, restriction or suspension of advertisements, accounts or pages by the platforms
- Changes in the policies, algorithms, formats, limits or prices of the platforms
- Interruptions, errors or delays in the platforms’ services
- Changes in tracking caused by privacy restrictions, browsers or operating systems (e.g. blocking of cookies/tracking)
The Client is responsible for ensuring that the content of the advertisements and the advertised products/services comply with the applicable legislation and with the rules of the respective platforms.
8. Tracking, Data and Privacy
To measure effectiveness, the Company may set up and use tracking tools (Pixel, Conversions API, analytics, etc.). Personal data is processed in accordance with the Privacy Policy and the Cookie Policy.
The Client, in its capacity as controller of the data collected through its advertising accounts, website and channels, is responsible for ensuring the necessary legal basis and consents (including a cookie banner and informing the data subjects), where required by the applicable legislation.
9. Reporting and Communication
The Company provides a monthly report and analysis of campaign performance according to the selected plan. Communication and support are provided on business days (Monday–Friday, 09:00–18:00 EET/EEST). The included volume of hours for SMM and communication is determined in the respective plan; additional hours are charged separately in accordance with the price list in effect.
10. Restrictions
The Company reserves the right to refuse or discontinue advertising products, services or content that: are unlawful, fraudulent, misleading or harmful; violate the policies of the advertising platforms; infringe the rights of third parties; or would damage the Company’s reputation. Refusal of such content does not constitute non-performance on the part of the Company.
