Performance Marketing & Advertising - Specific Terms
Last update: 3 June 2026.The Marketing & Advertising service includes marketing strategy development, ad campaign development and management (including Meta Ads and Google Ads), creative and content creation, social channel management (SMM), technical tracking setup and ongoing analysis and optimization, on a subscription basis.
The specific coverage is determined by the subscription plan selected:
All prices are in Euros (EUR) and are exclusive of VAT unless otherwise explicitly stated. The exact scope of each plan (number of creatives, number of active campaigns, advertising budget limits, SMM and communication hours, reporting and additional features) is described in the respective offer or subscription plan that supplements these terms and conditions.
The limits stated in the plans (e.g. number of creatives, active campaigns or advertising budget that the Company manages) represent upper limits within the subscription and not a guaranteed minimum volume. Unused volume for a given period does not accumulate and does not carry over to a subsequent period.
The advertising budget is paid separately and directly by the Client to the respective advertising platform, through a payment method and advertising account owned by the Client. The Client is solely responsible for having sufficient funds/payment method to fund the campaigns.
The company is not responsible for: campaign suspensions due to insufficient funds or denied payment method; fees charged directly by advertising platforms; fluctuations in the price of advertising (CPM, CPC, CPA), which depend on the market and the algorithms of the platforms.
The service is provided on a monthly subscription basis. Due to the nature of performance marketing - campaigns need time for algorithm training, testing and optimization - the minimum commitment period is 3 (three) months, from the start of the service, unless otherwise expressly stated in the offer.
After the expiration of the minimum term, the subscription shall continue on a month-to-month basis and shall renew automatically unless terminated by either party upon 30 days written notice prior to the next renewal date.
Termination within the minimum period does not relieve the Customer of the obligation to pay the amounts due for the minimum period. Subscription payments cover actual work performed, resources allocated and campaign management and are not refundable for the current pay period, to the maximum extent permitted by law (see also clause 7.1 of the General conditions).
For the performance of the service, the Customer undertakes to provide timely access and assistance, including: access to advertising accounts, Business Manager / Meta advertising account and/or Google Ads, social media pages and relevant payment methods; access to install and configure Pixel, Conversions API (CAPI) and other tracking tools; necessary materials, product / service information, brand guidelines and assets; timely feedback and approvals within reasonable timeframes.
Delay or failure to provide access, materials or approvals by the Customer may delay the launch or execution of campaigns. The Company shall not be liable for any results affected by such delays and shall not be liable for compensation for periods when performance is prevented for reasons attributable to the Customer.
Ownership of the advertising accounts, pages, Pixel and the data collected therein belongs to the Customer. Upon termination, Company shall cease access to these assets.
The company produces advertising creatives, texts and content (including those created using AI tools) in the volume determined by the selected plan. The client reviews and approves the creatives before publication.
The Customer warrants that it owns or has a lawful basis for the use of all material provided by it (logos, images, product data, reviews, UGC, etc.) and that their use in advertisements does not infringe any third party rights. The Customer indemnifies the Company against claims arising from any material provided by it or statements made in the advertisements.
Upon full payment, the Client receives a non-exclusive right to use the creatives developed specifically for their campaigns. The Company's proprietary methodologies, templates, tools and workflows remain its property. The Company may use anonymized deliverables and created materials for portfolio and case studies, unless expressly agreed otherwise in writing.
The service is provided on the principle of good faith and professional best effort. The effectiveness of campaigns depends on factors such as: the Client's product/service and pricing, market conditions and competition, seasonality, advertising budget size, the quality of the Client's offer and website, and the algorithms and policies of the advertising platforms.
Any forecasts, expectations or indicative metrics shared by the Company are for informational purposes only and do not constitute a guarantee or commitment as to the outcome.
The service depends on third-party advertising and technology platforms (Meta, Google, etc.) that have their own terms and policies. The Customer undertakes to comply with these policies. The Company is not responsible for:
The Customer is responsible for ensuring that the content of the advertisements and the products/services advertised comply with applicable law and the rules of the relevant platforms.
To measure performance, the Company can set up and use tracking tools (Pixel, Conversions API, analytics, etc.). The processing of personal data is carried out in accordance with Privacy Policy и Cookie Policy.
The Customer, as the controller of the data collected through its advertising accounts, website and channels, is responsible for providing the necessary legal basis and consents (including cookie banner and informing data subjects) where required by applicable law.
The company provides a monthly report and analysis of campaign performance according to the selected plan. Communication and support are provided on working days (Monday-Friday, 09:00-18:00 EET/EEST). The included amount of hours for SMM and communication is defined in the respective plan; additional hours are charged separately according to the current price list.
The Company reserves the right to refuse or discontinue advertising products, services or content that: are unlawful, fraudulent, misleading or harmful; violate the policies of advertising platforms; infringe the rights of third parties; or would damage the Company's reputation. Refusal of such content does not constitute a default by the Company.
