AI Web System — Specific Terms
Last updated: 20 October 2026This is an English translation provided for convenience. In case of any discrepancy, the Bulgarian version prevails.
1. Description of the Service
The "AI Web System" service is a subscription service under which the Company builds (or rebuilds) and maintains the Client's website and provides for its ongoing development within a single system comprising the following pillars: Web Core (website and UX, development, hosting and security, speed, backups and technical support), AI Intelligence (monitoring of data, visibility, competition and opportunities), Growth (SEO, visibility in AI search engines, landing pages and content) and Automation (connecting forms, CRM and emails). The specific scope is determined by the selected subscription plan.
The Service is provided under the following plans:
- Core: €149/month — a new website or a rebuild of an existing one, up to 5 main pages; managed hosting, SSL, backups and security; technical SEO and a foundation for visibility in AI search engines (GEO/AEO); 1 Small Mission per month
- Growth: €249/month — everything in Core, up to 10 main pages; advanced analytics and conversion tracking; practical AI / workflow automations; 2 Small Missions or 1 Growth Mission per month
- Custom: by individual quotation — one-off website development, online stores, portals and internal systems, custom functionalities and integrations, AI and automation
No setup fee is payable for the Core and Growth plans. The specific price for each Client is determined in accordance with the price list applicable at the time of the order or in accordance with an individual quotation, and is expressly stated in the Client's order/contract. The price so determined shall remain unchanged for the Initial Term (see clause 2.2). Changes to the published price list apply only prospectively and do not affect current subscriptions.
All prices are in euro (EUR) and exclude VAT, unless expressly stated otherwise.
Custom projects are governed by the individual quotation and contract and, where these do not provide otherwise, by the General Terms and the specific terms applicable to the relevant type of service.
2. Subscription Model and Terms
2.1. Monthly Subscription and Annual Periods
The Service is provided on a monthly subscription basis within consecutive 12-month service periods. The first 12-month period (“Initial Term”) begins on the date of signing of the order. Performance of the development work begins after receipt of the first monthly installment.
Upon expiry of each 12-month period, the contract is automatically renewed for a new 12-month period on the terms applicable at that time, unless either party gives written notice of termination at least 30 days before the renewal date. If the Client is a consumer within the meaning of the Consumer Protection Act (ЗЗП), upon expiry of the current period the contract continues on monthly terms with a right of termination on 30 days' notice.
The sum of the 12 monthly fees for each 12-month period constitutes the price of the development work (for the first period) and of the service for the period, payable in deferred form in 12 equal monthly installments. The monthly fee is payable in advance by the 10th day of the current month or on the subscription date, by automatic card payment through the Stripe platform; after each successful payment, an invoice is automatically sent to the email address specified by the Client.
2.2. Price and Indexation
During the Initial Term, the monthly fee is not subject to change. After its expiry, the Company may, once a year, index the fee by no more than the official annual inflation rate for Bulgaria (HICP, Eurostat/NSI) plus 3 percentage points, with 30 days' written notice. In the event of indexation above this amount, the Client may terminate the contract with 30 days' notice, without a penalty.
2.3. Guarantees for the Period and Termination at the End of a Period
The website is and remains the property of the Client (clause 8); the subject matter of each 12-month period is its development (for the first period), servicing and further development.
For each 12-month period, the Company guarantees: commitment and availability of the service for the entire period; preservation of the agreed terms and monthly price without change within the period; the monthly missions included in the plan; the response times under clause 7. Work beyond the included missions is paid at the hourly rate in accordance with the applicable price list, subject to prior approval by the Client.
Upon termination at the end of a period (with the 30-day notice under clause 2.1), the Client may, at its option: switch to a hosting-only service in accordance with the applicable price list, or receive a full handover of the website in accordance with clause 8.
3. Consequences of Non-Payment and Early Termination
In the event of an unsuccessful automatic payment, the Client has 5 (five) business days to pay the amount due by other means to the Company's bank account.
In the event of a delay exceeding 5 business days, the Company has the right to temporarily restrict or suspend access to the website until the amount due is paid in full. The suspension does not release the Client from the obligation to pay the monthly fees for the period of the suspension.
In the event of a delay exceeding 30 (thirty) days, the Company may terminate the contract unilaterally due to the Client's fault. In this case, all remaining monthly installments until the end of the current 12-month period become immediately due and payable as the unpaid balance of the price for the period (clause 2.1). The Client's ownership of the website is not affected; the handover under clause 8 is carried out after full payment of the amounts due.
Early termination at the Client's request: The Client may terminate the contract early at any time by paying in a single payment the remaining monthly installments until the end of the current 12-month period — in this case, the Client receives a full handover in accordance with clause 8.
The Client may terminate the contract without the remaining installments becoming due if the Company systematically and demonstrably fails to perform its obligations and has not remedied such failure within a period of at least 14 days after a written warning through the client portal.
For late current payments, a penalty of 0.1% of the overdue amount is payable for each day of delay, but not more than 10% of that amount. This penalty does not limit the enforceability of the balance of the price under this clause, which does not constitute a penalty.
4. Monthly Missions
Each plan includes a specified number of monthly missions for the improvement and development of the website and the system:
- Core: 1 Small Mission per month
- Growth: 2 Small Missions or 1 Growth Mission per month
A mission is a pre-agreed task with a clearly defined scope and outcome, requested and tracked through the Client Portal. A Small Mission is a task of limited scope (for example, a new section or page, content changes, a small integration or a conversion improvement). A Growth Mission is a task of larger scope (for example, a new landing page, a new automated process or a more substantial upgrade). Before performance, the Company confirms the type of the mission and its scope. A request that exceeds the scope of the included missions is performed as several missions in subsequent periods or is commissioned and charged separately, subject to prior approval by the Client.
Unused missions do not accumulate and are not carried over to the following month.
5. Included Resources
- Secure hosting infrastructure with monitoring
- Automated daily backups (retention of at least 14 days)
- SSL certificate
- Technical SEO and a foundation for visibility in AI search engines (GEO/AEO)
- Technical support, updates and consulting
The specific resource limits (server space, email hosting, etc.) included in the respective plan are set out in the plan description at the time of conclusion of the contract.
Hosting is provided through the infrastructure of established third parties, with the Company acting as a reseller and not as an independent hosting provider. Backups are maintained only when the website is hosted on infrastructure provided by the Company; where hosting is provided by the Client or by third parties, the Company does not owe backups and is not liable for availability and data.
6. SEO, Visibility in AI Search Engines and Automations
The Company makes professional efforts towards the technical optimization, content and visibility of the website in search engines and AI search engines, but does not guarantee specific rankings, traffic, number of inquiries or inclusion in the answers of artificial intelligence systems, as these depend on the algorithms and decisions of third parties. Where the service includes advertising campaigns, the provisions of Terms: Marketing and Advertising apply accordingly.
Where the service includes the building or maintenance of automated processes, the provisions of Terms: Business Automation apply accordingly, including with respect to the role of artificial intelligence, dependence on third-party platforms and liability for the operation of the automations. Licenses, subscriptions and fees for third-party software and platforms are not included in the subscription, unless expressly stated otherwise.
7. Availability and Support
Technical support is available on business days (Monday–Friday, 09:00–18:00 EET/EEST) through the client portal (portal.studionewera.com). Standard time limits: first response to an inquiry — within 72 hours on business days; completion of a mission — within 7 business days after the scope has been agreed. These time limits are suspended while information, cooperation or approval from the Client is awaited.
The Company provides monitoring of the availability of the websites and exercises due professional care (best effort) for high availability, without a guarantee of any specific uptime percentage. The Company is not liable for problems of third parties, acts or omissions of the Client, malicious attacks where reasonable measures have been taken, force majeure and suspension due to non-payment, nor for lost profits and indirect damages. Elements approved by the Client release the Company from liability for what has been approved (see clause 7 of the General Terms). The Company's total liability is limited in accordance with the General Terms.
Scheduled maintenance interruptions are carried out outside business hours, where possible, with prior notice through the client portal.
8. Ownership and Transfer upon Termination
The domain is registered in the name and at the expense of the Client and is its property from the moment of registration. Content provided by the Client (texts, images, trademarks) remains its property at all times.
The website (design, content and configuration developed specifically for the Client) is the property of the Client from the beginning of the contract, and the Client has a perpetual right to use, modify and develop it for its business. Until full payment of the amounts due under the contract, the Company has the right to withhold the handover under this clause (export, transfer and migration assistance). Open-source components and third-party licenses remain subject to their respective licenses. The Company's own code, templates, frameworks and tools, developed outside the specific project, remain its exclusive property.
Upon termination after full payment of all amounts due, the Company shall, within 14 days: provide the Client with a full export of the website (files and database) and assist with the transfer of the domain and, at the Client's request, with migration to another provider. The first 2 hours of assistance are free of charge; additional assistance is charged in accordance with the applicable price list.
Upon termination without full payment of the amounts due, no handover is owed until they are paid. The Company is not obliged to provide hosting or support after termination.
9. Restrictions
The Company reserves the right to restrict or suspend the service in the event of: exceeding the resource limits; use of the website for spam, abuse or unlawful purposes; installation of software that compromises the security or performance of the infrastructure.
