By accessing or using any of the Company's websites (including studionewera.com, ai.studionewera.com, portal.studionewera.com and any related subdomains), You confirm that You have read, understood and agree to be bound by these Terms. If You do not agree with them — do not use our services.
2. Definitions
"Services" means all digital services, products and solutions provided by the Company, including, but not limited to: web design and development, Website as a Service, AI Powered Website, hosting as a service, AI Website Builder, maintenance, optimisation, consulting, digital marketing and any other current or future products and services.
"Platform" means any websites, applications, portals and software tools operated by the Company.

"Content" means any text, images, video, logos, graphic elements, data and other information provided by the Client or generated by the Company in the course of providing the Services.
"Contract" means an individual contract concluded between the Company and the Client, which supplements and specifies these Terms. In the event of a conflict between an individual Contract and these Terms, the Contract shall prevail.
3. Subject Matter of the Services
The Company provides digital services, including but not limited to: design, development and maintenance of websites and web platforms; Website as a Service on a subscription basis; AI Powered Website — a website or online store with AI-assisted design on a subscription basis; managed hosting for WordPress and other CMS platforms; AI Website Builder; domain registration and management; email hosting; technical support and consulting; digital marketing, SEO and advertising campaigns; graphic design and branding; any other digital services that the Company may offer in the future.
The specific scope, timeframes and price of each service are determined in an individual Contract, offer or subscription plan, which supplements these Terms.
The Company reserves the right to update, expand, modify or discontinue the provision of specific services at any time, provided that services already paid for are performed within the agreed scope.
4. Rights and Obligations of the Client
The Client undertakes: to provide true, complete and up-to-date information necessary for the performance of the Services; to cooperate actively for the timely completion of projects, including by providing feedback within reasonable timeframes; not to use the Services for unlawful, harmful, fraudulent or immoral purposes; to comply with all applicable laws and regulations; to pay the amounts due within the agreed deadlines.
The Client confirms and accepts that it is fully responsible for: the Content that it provides or publishes through the Services, including for its lawfulness, accuracy and non-infringement of third-party rights; obtaining all necessary licences, permissions and consents for the materials it provides; the proper and good-faith use of the Services provided.
The Client may not: copy, reproduce, distribute or modify software, code or materials of the Company without express written consent; reverse engineer the Company's software solutions; grant third parties access to its account without the Company's consent; place an excessive load on the Company's infrastructure.
5. Rights and Obligations of the Company
The Company undertakes: to provide the Services with professionalism and in good faith (best effort basis); to ensure reasonable measures for the protection of data and infrastructure; to inform the Client of material changes to the Terms; to comply with applicable legislation.
The Company has the right: to refuse or terminate the provision of Services in the event of a breach of these Terms; to carry out scheduled and emergency maintenance of the infrastructure; to change the prices of future services with prior notice; to use subcontractors in providing the Services; to suspend access in the event of unpaid obligations.
6. Client Portal, Electronic Statements and Signing
The official channel for communication regarding projects and services is the Client Portal. Requests, instructions, approvals and objections submitted through the Client Portal or through official email correspondence are deemed valid written statements. Communications outside these channels bind the Company only after written confirmation.
By using the Client Portal, the Client agrees that the system records of the portal — including the records of login, activity and statements (user, date, time, IP address, browser used) — as well as the records of the Stripe payment platform for payments ordered and received, constitute admissible evidence of the statements made, the access performed and the payments made in the relations between the parties.
Pursuant to Art. 13, para. 4 of the Electronic Document and Electronic Trust Services Act (ЗЕДЕУУ), the parties agree that a simple electronic signature affixed through an electronic signing platform (including SignNow, DocuSign or equivalent), as well as a qualified electronic signature under Regulation (EU) No 910/2014 (eIDAS), shall have the effect of a handwritten signature in the relations between them. For clients from the USA, electronic signing is also recognised under the U.S. ESIGN Act and UETA. The audit trail of the signing platform is an integral part of the signed document.
7. Approval of Content
The Client confirms and accepts that upon approval of a design, content, functionality or other element of the Services (including by written or electronic confirmation, or implicitly — through absence of objection within the specified time limit), the Company is deemed released from liability for the approved element.
After publication of approved content or an approved element, the Company shall not be liable for subsequent claims by the Client or third parties regarding the approved content. Changes after approval are performed as an additional service and may be subject to additional payment.
8. Payments
Payments for the Services are made in accordance with the terms of the individual Contract, offer or subscription plan. Payments may be one-off or recurring (subscription), on a monthly or annual basis. Some plans (including the annual subscriptions for Website as a Service and AI Powered Website) may provide for advance or staged payment, whereby part of the amount is due before the start of work and the remainder — upon completion of the site. The specific scheme is described in the specific terms for the respective service.
Subscription payments are processed through the payment processor Stripe, Inc. The Client enters its payment information directly into the Stripe platform. The Company does not store credit/debit card data.
All prices are in euro (EUR) and are exclusive of VAT, unless expressly stated otherwise. VAT is charged in accordance with applicable legislation. Invoices are issued in accordance with Bulgarian tax legislation.
In the event of a failed subscription payment, the Client has 5 (five) business days to pay by other means. In the event of a delay beyond this period, the Company has the right to suspend the provision of the Services until receipt of the amounts due, without being liable for the interruption of the service. The suspension does not release the Client from the obligation to pay fees for the period of suspension. Additional consequences of non-payment (including acceleration of remaining instalments) may be provided for in the specific terms for the respective service or in the individual Contract.
8.1. Refund Policy
Due to the nature of digital services — involving significant investments of time, labour and resources from the moment the project is started — all payments are final and non-refundable, to the maximum extent permitted by law.
For plans with advance or staged payment (including annual subscriptions with split payment 50% / 50%), the amounts already paid cover the work actually performed and the resources allocated from the moment the project is started. These amounts are not refundable to the extent of the work performed, even if the project is terminated before its completion, to the maximum extent permitted by law.
Subscription payments are not refundable for the current paid period. The Client may terminate its subscription, in which case the Services will continue until the end of the period already paid for, subject to compliance with the agreed initial term under the specific terms for the respective service or the individual Contract.
Where the Client is a consumer within the meaning of the Consumer Protection Act (ЗЗП) and has expressly requested that performance/production begin before the expiry of the statutory 14-day period for withdrawal from the contract, the Client confirms that it loses its right of withdrawal in respect of the work already performed up to the moment of withdrawal. This does not affect the other statutory rights of consumers.
The above policy does not affect rights arising from mandatory provisions of applicable consumer legislation, including the Consumer Protection Act (ЗЗП) of the Republic of Bulgaria and Directive 2011/83/EU, in cases where the Client is a consumer within the meaning of these legal acts.
9. Domains and Hosting
Where the Company purchases a domain and/or hosting on behalf of the Client, ownership of the domain belongs to the Client. The Company acts solely as an intermediary.
The Company shall not be liable for: acts or omissions of domain registrars or hosting providers (third parties); loss of a domain due to expiry of the registration, if the Client has not ensured timely renewal or payment; DNS configurations made by the Client or third parties; service interruptions on the part of hosting providers.
Upon termination of the relations between the Parties, the Company will assist with the transfer of domains and data to the Client or to a provider designated by the Client, provided that all obligations of the Client have been settled.
10. Intellectual Property
All intellectual property in software, code, templates, frameworks, tools, libraries and methodologies developed or owned by the Company before or outside the scope of a specific project remains the exclusive property of the Company.
Upon full payment for the Services, the Client receives a non-exclusive, non-transferable right to use the specific design, content and functionalities developed specifically for its project, in accordance with the terms of the individual Contract and the specific terms for the respective service. For subscription services with an initial term, full payment of the instalments for the initial term is a condition for acquiring the rights, in accordance with the specific terms.
The Company reserves the right to use work on projects for marketing purposes (portfolio, case studies), unless expressly agreed otherwise in writing.
The Client warrants that it owns or has a lawful basis for using all materials it provides to the Company, and shall indemnify the Company for any third-party claims arising from infringement of intellectual property.
11. Limitation of Liability
The total liability of the Company under these Terms and/or any Contract — whether arising in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the amount actually paid by the Client to the Company for the specific Service directly related to the claim, for a period of six (6) months prior to the date of occurrence of the event giving rise to the claim, unless otherwise agreed in an individual Contract.
In no event shall the Company be liable for any indirect, incidental, special, consequential or punitive damages, including, but not limited to: loss of profit, loss of data, loss of business or business opportunities, reputational damage, business interruption — even if the Company has been advised of the possibility of such damages.
11.1. Specific Disclaimers
The Company expressly shall not be liable for:
- Loss of data — The Company takes reasonable backup measures but does not guarantee full recovery of data in the event of any incident. The Client is responsible for maintaining its own backup copies.
- Hacker attacks and cyber incidents — The Company applies reasonable security measures but cannot guarantee full protection against unauthorised access, DDoS attacks, malware, ransomware or other cyber threats.
- Actions of third parties — including hosting providers, DNS registrars, payment processors, API providers or other partners.
- Errors of the Client — damage arising from improper use of the Services, incorrectly entered data, compromised passwords or failure to follow instructions.
- Content of the Client — content published, uploaded or generated by the Client through the Services.
- AI-generated content — Content generated through AI tools may contain inaccuracies. The Client is fully responsible for the review and approval of such content.
- Force majeure — circumstances beyond the reasonable control of the Company, including natural disasters, wars, pandemics, governmental restrictions, interruptions of power supply or internet connectivity.
12. Indemnification
The Client undertakes to indemnify, defend and hold harmless the Company, its managers, employees, subcontractors and partners from and against any claims, losses, costs, damages and liabilities (including reasonable attorneys' fees) arising from or related to: a breach of these Terms by the Client; Content provided by the Client; infringement of intellectual property rights of third parties; unlawful or immoral use of the Services.
13. Termination of Services
The Client may terminate subscription Services with 30 days' written notice, subject to compliance with the agreed initial term under the specific terms for the respective service or the individual Contract. Termination takes effect upon expiry of the current paid period.
The Company may terminate or suspend the Services in the event of: a material breach of these Terms; non-payment for more than 30 (thirty) days after the due date — having the right, prior to that, to suspend access in accordance with clause 8; use of the Services for unlawful purposes; conduct that harms the infrastructure or reputation of the Company.
Upon termination: the Client loses access to the Services; the Company may delete the Client's data after a reasonable period (not less than 30 days), unless the law requires their retention; amounts due remain due; the handover of files and data is carried out under the conditions of clause 9 and the specific terms for the respective service.
14. Personal Data Protection
The processing of personal data is carried out in accordance with the Company's Privacy Policy, which is an integral part of these Terms.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with: the legislation of the Republic of Bulgaria as the principal applicable law; the legislation of the European Union, to the extent it is directly applicable (including the GDPR); additionally, the provisions of the jurisdiction of the Client's residence/establishment, to the extent provided for by mandatory legal rules.
The Parties will endeavour to resolve disputes through negotiation. If out-of-court settlement is not possible, disputes shall be resolved by the competent court in Sofia, Republic of Bulgaria. The Company may also collect undisputed monetary claims by way of order for payment proceedings (Art. 410 et seq. of the Civil Procedure Code (ГПК)). Consumers within the meaning of the Consumer Protection Act retain their right to bring claims before the competent court at their place of residence.
European consumers may use the EU Online Dispute Resolution (ODR) Platform: https://ec.europa.eu/consumers/odr/
These Terms may be published in Bulgarian and English. In the event of a discrepancy between the language versions, the Bulgarian version shall prevail.
16. Changes to the Terms
The Company reserves the right to amend these Terms at any time. The amended Terms are published on the Company's website and enter into force from the date of their publication. Continued use of the Services after publication of the amended Terms is deemed acceptance of the amendments. In the event of material changes, the Company will make reasonable efforts to notify Clients.
17. Severability and Final Provisions
If any provision of these Terms is declared invalid, unlawful or unenforceable by a competent court or regulatory authority, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid one that reflects to the maximum extent the intention of the Parties.
These Terms, together with the Privacy Policy, the Cookie Policy, the individual Contracts and the service-specific terms, constitute the entire agreement between the Parties.
Failure or delay by the Company in exercising a right under these Terms does not constitute a waiver of that right. The Client may not assign its rights and obligations without the written consent of the Company.
